Terms of Service

1. Acceptance of Terms

By accessing or using the AIMRO platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. AIMRO reserves the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

AIMRO is a performing rights organization (PRO) built for creators of AI-assisted music. The Service provides work registration, Licensing Marketplace indexing, royalty collection, distribution, and related tools. AIMRO acts as an intermediary between creators and licensees to facilitate the collection and distribution of performance royalties.

3. Eligibility & Accounts

• You must be at least 18 years of age or have legal parental/guardian consent to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• Each individual or entity may maintain only one AIMRO account.

4. Work Registration & Authorship

All works submitted to AIMRO must comply with our Copyright Policy and Authorship Standards. By registering a work, you represent and warrant that:

• You have made meaningful human creative contributions to the work, consistent with U.S. Copyright Office requirements for copyrightability.
• You have accurately disclosed all AI tools used in the creation of the work.
• You have the legal right to register the work and collect royalties on it.
• The work does not infringe upon the intellectual property rights of any third party.
• Your human creative contribution statement is truthful and accurately describes your involvement.

5. Royalty Collection & Distribution

• AIMRO collects performance royalties on behalf of registered creators through blanket license agreements with platforms, venues, and broadcasters.
• Royalty distributions are processed quarterly (January, April, July, October). AIMRO issues payments within 45 days of receipt from all sources. So, if we receive funds on June 15th, we make applicable member payments by July 31 in most cases.
• AIMRO retains an administrative fee of 15% of collected royalties to cover operational costs. Of that 15% fee, up to 3% is dedicated to AIMRO's Attribution Escrow, a reserve used to fund legal attribution claims made against any song registered on AIMRO.
• Minimum payout threshold is $10.00 USD. Balances below this threshold roll over to the next distribution period.
• You are responsible for providing accurate payment information and for any applicable taxes on royalty income.

6. Content Standards & Review

AIMRO reserves the right to review, approve, or reject any submitted work. Works may be rejected or removed if they:

• Lack sufficient documented human creative contribution
• Contain unlicensed samples, copyrighted material, or infringing content
• Were created using AI tools in violation of those tools' terms of service
• Contain harmful, illegal, or objectionable content
• Are duplicates of previously registered works (on AIMRO or elsewhere)

7. Intellectual Property

You retain all rights to your registered works. By registering on AIMRO, you grant AIMRO a non-exclusive license to index, display metadata for, and administer the collection of royalties for your works. This license does not transfer ownership of your works to AIMRO. You may remove your works and terminate this license at any time, subject to any pending royalty obligations.

8. Prohibited Conduct

• Registering works you did not create or do not have rights to
• Providing false or misleading human creative contribution statements
• Manipulating play counts, streams, or other metrics
• Creating multiple accounts to circumvent platform limits
• Using the Service for any unlawful purpose
• Attempting to reverse-engineer, scrape, or interfere with the platform's infrastructure

9. Termination

Either party may terminate this agreement at any time. You may close your account by contacting us at support@aimpromusic.com. AIMRO may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, any pending royalties above the minimum payout threshold will be distributed in the next quarterly cycle.

10. Limitation of Liability

AIMRO provides the Service on an "as is" and "as available" basis. To the fullest extent permitted by law, AIMRO disclaims all warranties, express or implied. AIMRO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. AIMRO's total liability shall not exceed the amount of royalties distributed to you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless AIMRO, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property rights; (d) any content you submit, post, or register through the Service, including any claims that such content infringes or misappropriates the intellectual property or other rights of any third party; or (e) any misrepresentation regarding the nature or extent of your human creative contributions to registered works. This indemnification obligation shall survive the termination of your account and these Terms.

12. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles, California. You agree to waive any right to a jury trial or to participate in a class action.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
